Q. When was Time Warner Cable incorporated?
A. Although its predecessors have been in the cable business for over 30 years in various legal forms, Time Warner Cable Inc. was incorporated as a Delaware corporation March 2003.


Q. What is Time Warner Cable's relationship to Time Warner?
A. Time Warner Cable is a consolidated subsidiary of Time Warner Inc. The common stock of Time Warner Inc. is traded on the New York Stock Exchange under the symbol TWX. Time Warner Inc. beneficially owns approximately 82.7% of Time Warner Cable's outstanding Class A common stock and 100% of Time Warner Cable's outstanding Class B common stock.

Except in the election of directors and other specified matters, the shares of Class A common stock and Class B common stock vote together as a single class on all matters submitted to Time Warner Cable stockholders. Each share of Time Warner Cable Class A common stock has one vote and each share of Time Warner Cable Class B common stock has 10 votes. As a result, Time Warner Inc. beneficially owns common stock representing approximately 84.0% of all classes of Time Warner Cable's outstanding common stock and approximately 90.6% of the combined voting power of all classes of the outstanding common stock.

A pioneer in the cable industry, Time Warner Cable provides video, data and voice services and owns or manages cable systems serving approximately 13.4 million basic video subscribers in 33 states as of December 31, 2006. Passing approximately 26 million homes, Time Warner Cable includes some of the most technologically advanced and best-clustered cable systems in the country, with nearly 85 percent of the Company's customers located in five geographic regions: New York, Texas, Ohio, the Carolinas and southern California.

Q. When was Time Warner Cable's initial public offering, and what was the opening price?
A. Time Warner Cable did not become a public company as a result of an underwritten initial public offering. On July 31, 2006, a subsidary of Time Warner Cable completed the acquisition of certain assets of Adelphia Communications Corporation and related companies ("Adelphia"), which were then in bankruptcy. Approximately 156 million shares of Time Warner Cable Class A common stock – approximately 16 percent of the total – were included in the amounts paid for the assets.

On February 13, 2007, Adelphia's Chapter 11 reorganization plan became effective and, under applicable securities law regulations and provisions of the U.S. bankruptcy code, Time Warner Cable became a public company subject to the requirements of the Securities Exchange Act of 1934, as amended. Under the terms of the reorganization plan, most of the shares of Time Warner Cable Class A common stock that Adelphia received for its assets have been distributed to Adelphia's creditors.


Q. What percentage of Time Warner Cable Class A common stock is publicly traded?
A. Approximately 156 million shares of Time Warner Cable Class A common stock – approximately 16 percent of the total – were included in the payment for Adelphia assets. Under the terms of Adelphia's reorganization plan, most of the 155,913,430 shares of Time Warner Cable Class A common stock that Adelphia received for its assets (representing approximately 16% of Time Warner Cable's outstanding common stock) are being distributed to Adelphia's creditors. As of September 30, 2007, approximately 96% of these shares of Class A common stock had been distributed to Adelphia's creditors. The remaining shares are expected to be distributed during the coming months as the remaining disputes are resolved by the bankruptcy court.


Q. Are there other classes of Time Warner Cable stock? Are they publicly traded?
A. Time Warner Cable has two classes of common stock authorized: the Class A common stock, which is being distributed in the plan of reorganization and is the class of stock that is listed and traded on the New York Stock Exchange (NYSE), and Class B common stock. The Class B shares entitle holders to the same economic rights as Class A shares, but entitle holders to 10 votes per share and Class A shares have one vote. All the Class B shares are currently beneficially owned by Time Warner Inc. Only the Class A common stock is traded on the NYSE.
